Terms of Service

These Terms of Service ("Terms") govern your access to and use of quantumsparc.com (the "Site") and any services offered by QuantumSparc Technologies ("we", "us", "our"), a digital-solutions agency based in Kathmandu, Nepal. By using the Site, you agree to these Terms.

1. Use of the Site

You may use the Site for lawful, personal, and business-evaluation purposes. You agree not to:

• Use the Site or its features (including AI-assisted tools) to generate or distribute unlawful, harmful, hateful, or deceptive content.
• Attempt to gain unauthorised access to any part of the Site, its servers, or related systems.
• Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures.
• Use automated means (bots, scrapers, crawlers) to access the Site in a way that imposes an unreasonable load.
• Submit false, misleading, or spam content through the contact form.
• Use the Site in violation of any applicable law or regulation.

2. AI-assisted features

The Site includes optional features that send your input to third-party AI providers (currently Google Gemini, Cerebras, and Groq) to generate text suggestions, draft messages, and structured project briefs. Output produced by these features is provided "as is":

• It may be inaccurate, incomplete, biased, or out of date.
• It should not be relied on as professional, legal, financial, medical, or technical advice.
• We do not guarantee the availability, quality, accuracy, or appropriateness of AI output for your purpose.

You are responsible for reviewing any AI output before relying on it, sharing it with others, or making business decisions based on it.

3. AI Project Briefs (specific terms)

The "Get Your Free Project Brief" feature uses AI to produce a structured document — including a recommended approach, suggested technology stack, phased timeline estimate, and discussion considerations — based on the intake you provide. Specifically:

• The brief is a starting point for discussion only. It is not a quote, proposal, contract, or commitment, and it does not bind QuantumSparc to deliver any timeline, scope, stack, or price shown in it.
• Estimated phases, week counts, and total durations are AI-generated approximations, not engineering estimates. Real-world figures depend on a discovery conversation and a signed agreement.
• The PDF of the brief is generated client-side in your browser and optionally stored on our server under a token-gated URL for retrieval and discussion. You may share the PDF freely with internal stakeholders. You may not represent the PDF as a signed QuantumSparc proposal or use it to mislead third parties.
• Clicking Discuss this brief sends the brief (with your contact details and any note you add) to our team, but it does not create a contract. See section 5 below for how engagements form.
• We may retain a copy of the brief and its intake server-side as described in our Privacy Policy; you can request deletion by emailing us with the reference number printed on the brief.

4. Intellectual property

All content on the Site — including the "QuantumSparc" name, logo, design, text, graphics, and code — is owned by QuantumSparc Technologies or its licensors and is protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works from any part of the Site without our prior written permission, except for brief excerpts used for personal, non-commercial reference with proper attribution.

For AI-generated project brief output specifically: subject to the disclaimers above, you may use the brief text we generated for you internally (including printing, sharing with colleagues, and reusing its structure for your own planning). The QuantumSparc brand assets in the PDF (logo, brand name) remain ours.

5. Service inquiries and engagements

Submitting an inquiry through the contact form, generating an AI brief, or sending a brief to us for discussion does not create a contract between you and QuantumSparc. A formal engagement only begins when both parties sign a written proposal, statement of work, or services agreement that specifies scope, deliverables, timelines, and fees. The terms of that separate agreement will take precedence over these Terms for the engagement it covers.

5. Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

6. Limitation of liability

To the maximum extent permitted by applicable law, QuantumSparc Technologies, its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising from or related to your use of the Site, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or your use of the Site shall not exceed NPR 1,000.

7. Third-party links and services

The Site may link to third-party websites or rely on third-party services (such as Google, font providers, and CDNs). We do not control these third parties and are not responsible for their content, policies, or practices. Your use of any third-party service is at your own risk and is subject to that service's terms.

8. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have violated these Terms or otherwise misused the Site.

9. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when they were last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

10. Governing law and jurisdiction

These Terms are governed by the laws of Nepal, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Kathmandu, Nepal.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
